By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. "You" or "Customer" refers to the hotel property or business entity that subscribes to the Service, as well as any individuals authorized by that entity to access the Service.
SERVICE DESCRIPTION & ACCOUNTS
Hello Hotel is a communication platform purpose-built for hotels. The Service provides telephony services including inbound and outbound calling, call routing, and voicemail; SMS and text messaging capabilities; AI-powered voicemail transcription, call transcription, and AI-powered voice and SMS agents; integration with property management systems such as Mews and Infor; a shared inbox for managing guest communications; reporting, analytics, and automation features. The specific features available to you depend on your subscription plan.
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.
You may authorize Users to access the Service on your behalf. You are responsible for ensuring that all Users comply with these Terms and for all actions taken by your Users.
PLANS, PAYMENT & ACCEPTABLE USE
Hello Hotel offers tiered subscription plans with varying features and capabilities. Current plan details and pricing are available at hellohotel.co/pricing. We reserve the right to modify pricing and plan features with 30 days' written notice. Fees are billed monthly in advance in U.S. dollars. Overdue amounts may accrue interest at 1.5% per month. All fees are exclusive of applicable taxes. Certain features may incur usage-based charges beyond your plan's included amounts, billed in arrears.
You agree to use the Service only for lawful purposes. You shall not use the Service for illegal communications or spam, violate telecommunications regulations, attempt unauthorized access, interfere with the Service or its infrastructure, transmit malicious code, sublicense or resell the Service without written consent, violate laws regarding call recording or interception, or use the Service to harass or harm any person. We reserve the right to suspend or terminate your access for violations.
You are responsible for complying with all applicable laws and regulations including telecommunications laws, privacy laws, and consent requirements for call recording. You must obtain required consents from Guests before recording calls or using AI-powered agents, configure the Service appropriately for your property, provide accurate account information, and inform Guests about the use of automated systems and call transcription in your communications.
INTELLECTUAL PROPERTY & CONFIDENTIALITY
The Service, including all software, content, designs, features, and documentation, is owned by Hello Hotel and its licensors. These Terms do not grant you any ownership interest in the Service. You retain all rights to the data you provide to the Service. You grant Hello Hotel a limited, non-exclusive license to use, process, and store your data solely for providing and improving the Service. If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use that feedback for any purpose.
Each party agrees to treat the other party's Confidential Information with reasonable care. Our collection and use of information is governed by our Privacy Policy at hellohotel.co/privacy-policy. To the extent Hello Hotel processes personal data on your behalf, we act as a data processor and you act as the data controller. The Service may integrate with third-party property management systems and other tools, which may be subject to the terms of the third-party provider. We are not responsible for the availability or performance of third-party services.
WARRANTIES & LIABILITY
We will use commercially reasonable efforts to make the Service available 24/7, but it may be temporarily unavailable due to scheduled or emergency maintenance, or circumstances beyond our control. We warrant that the Service will perform materially in accordance with its documentation. If it fails to meet this warranty, your sole remedy is for us to correct the issue or terminate your subscription with a pro-rata refund. EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL OTHER WARRANTIES. AI-GENERATED TRANSCRIPTIONS AND AUTOMATED AGENT RESPONSES ARE PROVIDED AS A CONVENIENCE AND MAY CONTAIN ERRORS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLO HOTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID DURING THE TWELVE MONTHS PRECEDING THE CLAIM. You agree to indemnify and hold harmless Hello Hotel from claims arising out of your use of the Service in violation of these Terms, your violation of applicable law, your failure to obtain required consents for call recording or AI processing, or any dispute between you and a Guest arising from your use of the Service.
TERM, TERMINATION & GENERAL PROVISIONS
These Terms are effective as of the date you first access the Service and continue until terminated. Your subscription renews automatically on a monthly basis unless canceled. You may cancel at any time; cancellation is effective at the end of the current billing period with no refunds for partial months. We may suspend or terminate your access immediately for material breach, non-payment, legal requirements, or if your use poses a risk to the Service or other customers.
Upon termination, your right to access the Service ceases immediately. We will make your Customer Data available for export for 30 days following termination. After that period, we may delete your data in accordance with our Privacy Policy. These Terms are governed by the laws of the State of Texas. Disputes shall be resolved exclusively in Texas state or federal courts.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hello Hotel. We may modify these Terms with 30 days' notice for material changes; continued use constitutes acceptance. You may not assign these Terms without written consent. If any provision is held invalid, the remaining provisions continue. Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, pandemics, or infrastructure disruptions.
